Terms of Service
Plain-language summary (not part of the agreement). Jabez FL180 is an online venue that lets aircraft operators and pilots find each other and arrange contract flying. We are not an air carrier, a charter broker, an employer, or a party to any arrangement you make with another user. You are responsible for your own licensing, insurance, vetting, tax status, and regulatory compliance. We charge a fee to the operator when a trip is completed and paid through the platform. Disputes are resolved by binding arbitration in Florida, and there is a class-action waiver. Read the full terms below.
1. Acceptance of these Terms
These Terms of Service ("Terms") are a binding agreement between you ("you," "your," or "User") and Jabez FL180 LLC, a Florida limited liability company ("Jabez FL180," "we," "us," or "our"), governing your access to and use of the Jabez FL180 websites, applications, and related services (collectively, the "Platform"). By creating an account, checking a box indicating acceptance, or accessing or using the Platform, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Platform. If you accept on behalf of an entity, you represent that you are authorized to bind that entity, and "you" refers to that entity.

You must not be barred from using the Platform under the laws of any applicable jurisdiction, and you must not be a person or entity with whom U.S. persons are prohibited from transacting. 5. Nature of the platform; no operational control
- The Platform is a neutral technology venue that enables Operators and Pilots to identify one another and to communicate, contract, and transact. Jabez FL180 is not an air carrier, a direct or indirect air carrier, a common carrier, an air charter broker, a ticket agent, a staffing or employment agency, a professional employer organization, a labor contractor, or a talent agency.
- Jabez FL180 does not own, operate, charter, manage, dispatch, or exercise operational control over any aircraft or flight, and does not participate in any go/no-go, release, continuation, or diversion decision. Operational control of every flight rests solely with the Operator holding the applicable certificate or authority.
- Jabez FL180 is not a party to any Engagement. Each Engagement is solely between the Operator and the Pilot. We do not supervise, direct, or control the manner or means by which pilot services are performed, set work schedules other than as the parties themselves agree, or guarantee any Opportunity, Engagement, volume of work, or level of income.
- No agency, partnership, joint venture, employment, or fiduciary relationship is created between you and Jabez FL180 by these Terms or your use of the Platform.
- Any classification of a Pilot as an employee or independent contractor is determined by the Operator and the Pilot and by applicable law, and is their sole responsibility. Each of the Operator and the Pilot is responsible for its own tax reporting, withholding, benefits, and wage-and-hour obligations.
6. Operator obligations and representations
By posting an Opportunity or entering an Engagement, the Operator represents, warrants, and covenants that:
- it holds all certificates, operating authority, exemptions, and operations specifications required for the operations it conducts, or it operates lawfully under 14 C.F.R. Part 91 and will not use the Platform to arrange carriage of persons or property for compensation or hire except as permitted by its certificate and authority;
- it will not use the Platform to facilitate any operation that would constitute unlawful common carriage or an illegal charter ("gray charter");
- it retains operational control of every flight and remains solely responsible for airworthiness, flight release, crew assignment, weather and risk decisions, and regulatory compliance;
- it is solely responsible for its own independent evaluation of each Pilot, including any records review it is required or chooses to perform, such as a review under the Pilot Records Database rule (14 C.F.R. Part 111), background and identity checks, reference checks, and verification of certificates, ratings, medical eligibility, currency, and training;
- it will ensure that each Pilot is trained, checked, and qualified as required for the operation and, where applicable, is properly added under the Operator's certificate before conducting operations under that certificate;
- it maintains insurance as described in Section 20 and, where applicable, will ensure that the Pilot is a covered pilot under the applicable hull and liability policies for the Trip;
- it will pay Pilots, and the Platform Fee, through the payment method and process the Platform designates, and will not structure payments to evade the Platform Fee; and
- the information it provides about each Opportunity, including aircraft, itinerary, compensation, and expense terms, is accurate and not misleading.
7. Pilot obligations and representations
By creating a profile, responding to an Opportunity, or entering an Engagement, the Pilot represents, warrants, and covenants that:
- the Pilot holds all airman certificates, type ratings, endorsements, and a current medical certificate appropriate to the operations offered, and meets all recency, currency, and experience requirements that apply;
- every certificate, rating, logbook summary, training record, employment history entry, reference, identity document, and other item the Pilot submits is true, accurate, current, complete, and the Pilot's own to submit, and the Pilot will keep this information updated and promptly correct any inaccuracy;
- the Pilot is legally authorized to work and to be compensated for pilot services in each applicable jurisdiction;
- the Pilot is not subject to any FAA enforcement action, certificate suspension or revocation, medical denial, or other disqualification that has not been disclosed to the Operator;
- the Pilot will comply with the Operator's operational control, procedures, manuals, and lawful instructions during any Engagement, and will exercise independent professional judgment as pilot in command as required by law;
- the Pilot is responsible for the Pilot's own taxes, and, unless an Engagement expressly provides otherwise, is engaged as an independent contractor of the Operator and not of Jabez FL180; and
- the Pilot will not accept an Engagement the Pilot is not qualified, current, fit, or legally able to perform.
8. Credential checks are limited
Jabez FL180 may perform limited checks on certain User information, which may include comparison against public FAA airman records, identity verification, and third-party background screening. Any such check is limited in scope, is performed on an "as available" basis, may rely on data from third parties or from the User, and is not a guarantee, endorsement, certification, or recommendation of any User's identity, qualifications, fitness, safety record, honesty, or suitability. A "verified," "checked," or similar label means only that a limited process was completed and not that any fact has been conclusively established. The Operator remains solely responsible for deciding whether to engage a Pilot and for any evaluation required by law. Jabez FL180 has no duty to investigate any User and disclaims all liability arising from the accuracy or completeness of any check or the acts or omissions of any User.
9. Fees, payments and processing
- Posting and acceptance. Posting an Opportunity and accepting an Opportunity are free. There is no charge to a Pilot for using the Platform except as separately agreed in writing.
- Platform Fee. Jabez FL180 charges the Operator a Platform Fee, calculated as a percentage of the Pilot's compensation for a Trip or as otherwise disclosed on the Platform at the time of booking. The Platform Fee is earned when a Trip is completed and the corresponding payment is processed through the Platform. Pilots set their own rates; Jabez FL180 does not mark up or deduct from the Pilot's stated rate, and the Platform Fee is charged separately to the Operator.
- Payment processing. Payments are processed by one or more third-party payment service providers (for example, Stripe). Your use of payment processing is subject to the processor's terms. You authorize Jabez FL180 and the processor to charge your designated payment method for amounts you owe, including the Platform Fee, any Cancellation Deposit, and amounts you direct to be paid to a counterparty.
- No banking or fiduciary role. Jabez FL180 does not hold User funds as a bank, trustee, escrow agent, or money transmitter, and does not extend credit. Funds are held and moved by the payment processor. Jabez FL180 is not responsible for processor delays, holds, reversals, or errors.
- Payout timing. Jabez FL180 will direct release of amounts due to a Pilot after a Trip is marked complete and the Operator's payment has cleared, targeting a prompt payout but not guaranteeing any specific time.
- Taxes. Fees are exclusive of taxes. Each User is responsible for its own taxes arising from Engagements and payments. Jabez FL180 will report amounts it is required to report and may request tax information (such as a Form W-9) as a condition of payout.
- Chargebacks and reversals. If a payment to Jabez FL180 is reversed, disputed, or charged back, you remain liable for the amount plus any related fees, and we may offset it against other amounts owed to you or suspend your account.
- Changes. We may change the Platform Fee or introduce new fees prospectively on notice. Fees are non-refundable except as expressly stated or required by law.
10. Cancellation Deposit
- An Operator that does not warrant an Opportunity as described on the Platform may be required to authorize or pay a refundable Cancellation Deposit before the Opportunity is published or confirmed.
- If the Trip is performed, the Cancellation Deposit is credited toward the Platform Fee or refunded, as indicated on the Platform.
- If the Operator cancels within the pre-disclosed cancellation window, fails to provide the aircraft or trip as posted, or is otherwise responsible for the Trip not proceeding, all or part of the Cancellation Deposit may be released to the affected Pilot as compensation for the lost booking and to Jabez FL180 for its costs, in the amounts disclosed on the Platform. The Cancellation Deposit is the exclusive source of such compensation from the Platform and does not limit any claim a Pilot may have directly against the Operator.
- Disputes about a Cancellation Deposit are handled under Section 11. Amounts are as disclosed at booking; the parties agree such amounts are a reasonable pre-estimate of loss and not a penalty.
11. Cancellations, no-shows and user disputes
Engagements, including their cancellation, rescheduling, payment, expenses, and performance, are the responsibility of the Operator and the Pilot. Jabez FL180 is not obligated to mediate, but may, at its discretion, review a dispute, request information, and make a non-binding determination about the allocation of a Cancellation Deposit or amounts held by the payment processor. You authorize us to make and act on such determinations. Our involvement in a dispute does not make us a party to the Engagement or liable for its outcome.
12. Non-circumvention
For twelve (12) months after Jabez FL180 first introduces or makes known to you a counterparty through the Platform, you will not, and will not cause another to, arrange, invoice, or pay for an Engagement with that counterparty outside the Platform for the purpose of avoiding the Platform Fee, nor solicit that counterparty to move off-Platform for that purpose. If you breach this Section, you agree to pay Jabez FL180 the Platform Fee that would have applied to each affected Engagement as liquidated damages, plus collection costs and reasonable attorneys' fees. This Section does not restrict a pre-existing relationship that you can document predates the Platform introduction.
13. Prohibited conduct
You will not: (a) provide false, misleading, or fraudulent information, including about certificates, ratings, medical eligibility, identity, insurance, or operating authority; (b) use the Platform to arrange an unlawful charter or any operation you are not authorized to conduct; (c) circumvent the Platform Fee in violation of Section 12; (d) discriminate against a User in violation of law; (e) harass, threaten, defame, or endanger any person; (f) infringe intellectual property or privacy rights; (g) scrape, crawl, reverse engineer, or bulk-export data except as expressly permitted; (h) introduce malware or interfere with the Platform's operation or security; (i) use the Platform on behalf of an undisclosed third party; or (j) use the Platform for any unlawful purpose. We may investigate and report suspected illegal activity to authorities.
14. User content
You retain ownership of your User Content. You grant Jabez FL180 a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, and distribute your User Content as needed to operate, provide, secure, and improve the Platform, including sharing your profile and credential information with counterparties and service providers to evaluate or complete an Engagement. You represent that you have the rights to grant this license and that your User Content is accurate and lawful. Ratings and reviews must be truthful and based on a genuine Engagement; we may remove content that violates these Terms. Feedback you volunteer about the Platform may be used by us without obligation to you.
15. Intellectual property
The Platform, including its software, design, text, graphics, and the "Jabez FL180" name and logo, is owned by Jabez FL180 or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for its intended purpose. All rights not expressly granted are reserved.
16. Third-party services
The Platform may integrate or link to third-party services, including payment processing, identity verification, background screening, mapping, and communications tools. We do not control and are not responsible for third-party services, and your use of them may be governed by their own terms and privacy practices.
17. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, JABEZ FL180 DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT ANY OPPORTUNITY, PILOT, OR OPERATOR IS AVAILABLE, QUALIFIED, SOLVENT, OR SUITABLE, OR THAT ANY ENGAGEMENT WILL BE PERFORMED, PAID, OR SAFE. WE ARE NOT RESPONSIBLE FOR THE CONDUCT, ACTS, OR OMISSIONS OF ANY USER, ON OR OFF THE PLATFORM, OR FOR ANY FLIGHT, AIRCRAFT, INCIDENT, ACCIDENT, INJURY, DEATH, OR PROPERTY DAMAGE. AVIATION SAFETY AND REGULATORY COMPLIANCE ARE THE SOLE RESPONSIBILITY OF THE OPERATOR AND THE PILOT.
18. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, JABEZ FL180 AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY. JABEZ FL180 WILL HAVE NO LIABILITY FOR BODILY INJURY, DEATH, OR PROPERTY DAMAGE ARISING FROM ANY FLIGHT, AIRCRAFT, OR ENGAGEMENT. IN ALL CASES, JABEZ FL180'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (a) THE TOTAL PLATFORM FEES YOU PAID TO JABEZ FL180 IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN.
19. Indemnification
You will defend, indemnify, and hold harmless Jabez FL180 and its officers, members, employees, and agents from and against any claim, demand, loss, liability, damage, fine, penalty, or expense (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) any Opportunity, Engagement, Trip, or flight involving you; (c) your User Content or your representations; (d) your violation of these Terms or of any law or regulation, including aviation, tax, employment, immigration, and data-protection laws; (e) any dispute between you and another User; and (f) any claim that you were misclassified as an employee or contractor. We may assume the exclusive defense of any matter subject to indemnification, in which case you will cooperate with us.
20. Insurance
Each User is responsible for obtaining and maintaining insurance appropriate to its role and operations. Operators are responsible for hull and aircraft liability coverage and for confirming that each Pilot is a covered pilot for the relevant Trip. Pilots are responsible for any coverage applicable to their independent operations, which may include non-owned aircraft liability and loss-of-license coverage. Jabez FL180 does not provide insurance to Users and is not responsible for the sufficiency of any User's coverage.
21. Term, suspension and termination
These Terms apply while you use the Platform. You may stop using the Platform and close your account at any time. We may suspend or terminate your access at any time, with or without notice, including for suspected violation of these Terms, risk to other Users or to us, or legal reasons. On termination, Sections 5 and 9 through 27, and any accrued payment obligations, survive.
22. Changes to the platform or these Terms
We may modify or discontinue the Platform or any feature at any time. We may amend these Terms by posting the revised version with a new effective date and, for material changes, by providing reasonable notice. Changes are not retroactive. Your continued use after the effective date of revised Terms constitutes acceptance. If you do not agree, stop using the Platform.
23. Dispute resolution; arbitration; class-action waiver
- Informal resolution. Before starting arbitration, you agree to send a written notice of dispute to admin@jabezfl180.com and to attempt in good faith to resolve the dispute for 30 days.
- Binding arbitration. Any dispute arising out of or relating to the Platform or these Terms that is not resolved informally will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The seat of arbitration is St. Lucie County, Florida, and the arbitration will be conducted in English. The Federal Arbitration Act governs the interpretation and enforcement of this Section. Judgment on the award may be entered in any court of competent jurisdiction.
- Class-action waiver. Disputes will be arbitrated only on an individual basis. You and Jabez FL180 waive any right to participate in a class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims.
- Exceptions. Either party may bring an individual claim in small-claims court, or seek injunctive or equitable relief in court to protect intellectual property or Confidential Information or to enforce Section 12.
- Opt-out. You may opt out of this arbitration agreement by emailing admin@jabezfl180.com within 30 days of first accepting these Terms, stating your name, account, and intent to opt out.
- Time limit. Any claim must be brought within one (1) year after it arises, or it is permanently barred, to the extent permitted by law.
24. Governing law and venue
These Terms are governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict-of-laws rules. Subject to Section 23, the state and federal courts located in St. Lucie County, Florida have exclusive jurisdiction, and you consent to personal jurisdiction and venue there. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
25. Notices
We may give notice by posting on the Platform, by email to the address on your account, or by in-app message. You consent to receive communications electronically. Legal notices to Jabez FL180 must be sent to admin@jabezfl180.com and, if required, by mail to: Jabez FL180 LLC, 5814 Spruce Drive, Fort Pierce, FL 34982.
26. General
These Terms, the Privacy Policy, and any order or booking terms presented on the Platform are the entire agreement between you and Jabez FL180 about the Platform and supersede prior discussions. If a provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. Neither party is liable for delay or failure due to events beyond its reasonable control. Section headings are for convenience only. These Terms do not create third-party beneficiary rights except for the indemnified parties named above.
